Registration procedures for investors in Kyrgyzstan

Registration includes registration as a legal entity in the Ministry of Justice of the Kyrgyz Republic, registered in the bodies of statistics and tax authorities and obtain licenses for certain activities (list of activities subject to compulsory licensing is contained in Article 9 of the Law “On licensing” of the Kyrgyz Republic) and permits depending on the type of business activity. The state registration of legal entities includes checking compliance with the constituent documents of the entities to the laws of the Kyrgyz Republic, the issuance of certificate of state registration with the assignment of registration numbers entering of information on legal entities in the unified state register.

To register with the Ministry of Justice of the Kyrgyz Republic, the representative of the company or himself the founder must submit the following documents:

• An application for registration

• Other documents, depending on the shape of the company

If one of the founders is a foreign entity must provide for the registration of legalized extract from the register, certifying that the founder is a legal entity in accordance with the laws of their country. Legalization is not required for legal entities of the Commonwealth of Independent States. Registrations of legal entities are free of charge within 10 days from the date of application. To register the company founder must provide a bank letter confirming the payment to the account 50% of the share capital. A foreign citizen, acting as a parent, must additionally submit a photocopy of their passport or other identity document (indicating the duration of the visa). Statistical registration card must be received by the National Statistics Committee, which takes two days. All documents must be accompanied by a notarized translation into Kyrgyz or Russian language.

All businesses and private entrepreneurs will have to register with the State Tax Inspectorate, or one of its regional offices, depending on location. To register with the State Tax Inspectorate shall submit the following documents:

- For legal entities: copies of constituent documents, a copy of the certificate of state registration and other relevant documents

- For natural persons: statistical registration card, passport and other necessary documents

A taxpayer fills tax registration card in triplicate. After registration, the taxpayer gets a unique identification code, which must be placed on all financial, accounting, customs documents (eg, payment orders). If the taxpayer is registered for the first time, the STI issue a leaflet showing all taxes, duties and responsibilities of the taxpayer.

Registration of enterprises in free zones

To register a business in the Free Economic Zone (SEZ) there is a special procedure. The enterprise must be registered with the Directorate of SEZ.

Registration of an individual entrepreneur

National Statistical Committee and its departments in the Region of individual entrepreneurs, depending on the place of its location. Registration is done on the basis of an application for registration and passport. After registration, statistical body issues a certificate of registration with an individual identification number.

Registration of branches and representative offices

Registration of branches and representative offices shall similarly registration of legal entities. There is a requirement for additional documents:

of a branch or representative office and copies of documents registered person organizing a branch or representative office. A foreign enterprise or individual must also submit an extract from the trade register or other document confirming that the company that organizes branch / office in the Kyrgyz Republic is a legal entity under the laws of the country of registration, and bank letter confirming its solvency. All documents must be accompanied by a notarized translation into Kyrgyz or Russian languages.
